Terms of Service

Welcome to Zenith Business Flow Consulting SAS ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our website located at zenithflow.fr (the "Site") and the consulting services we provide (the "Services"). By accessing the Site or using our Services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Definitions

- "Client" refers to the individual or entity engaging our Services.

- "Services" refers to the workflow optimization, HR consulting, corporate culture development, and other related services provided by the Company.

- "Proposal" refers to the specific document outlining the scope of work, timeline, and fees for a Client project.

3. Services

The scope, deliverables, and fees for our Services will be detailed in a formal Proposal agreed upon by both the Company and the Client. Any changes to the scope of work must be agreed upon in writing. We warrant that our Services will be provided with reasonable care and skill. However, we do not guarantee any specific business outcomes, as results are dependent on various factors beyond our direct control, including the Client's implementation of our recommendations.

4. Client Obligations

The Client agrees to provide timely access to necessary information, personnel, and resources required for the Company to perform the Services. The Client is responsible for the accuracy and completeness of all materials provided to the Company. The Client agrees to make timely payments as outlined in the Proposal and invoice(s).

5. Fees and Payment

Fees for Services will be specified in the Proposal. Unless otherwise stated, invoices are due upon receipt. Late payments may be subject to interest charges at the maximum rate permitted by law. All fees are exclusive of applicable taxes, such as VAT, which will be added to the invoice as required.

6. Intellectual Property

All methodologies, tools, and proprietary materials used or developed by the Company in the course of providing the Services shall remain the exclusive property of the Company. The Client is granted a non-exclusive, non-transferable license to use the deliverables (e.g., reports, roadmaps) for its own internal business purposes. The Client may not reproduce, sell, or distribute these materials to any third party without our prior written consent.

7. Confidentiality

Both parties agree to keep confidential all non-public information obtained from the other party during the engagement. This obligation of confidentiality will survive the termination of our services agreement. This does not apply to information that is publicly available or becomes public through no fault of the receiving party.

8. Limitation of Liability

To the maximum extent permitted by law, the Company's total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the total fees paid by the Client to the Company in the six (6) months preceding the event giving rise to the claim. The Company shall not be liable for any indirect, incidental, or consequential damages.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the commercial courts of Paris.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms take effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
